    • 우선, 본 연구는 현실에서 발생하고 있는 구체적인 사례분석을 통해 소프트웨어에 대한 제조물책임 인정과 관련한 법적 쟁점 목록을 도출하였다. 아울러, 현행 제조물책임법제, 관련판례 현황을 비판적으로 검토하여 해석론상․입법론상 미비점을 확인하였다.

    • 4. 연구 내용 및 결과
    • 1) 소프트웨어 제조물책임 관련 법적 쟁점 및 현행법 미비점
    • 제조물책임법 이후 15년이 경과하였지만, 소프트웨어 제조물책임을 명시적으로 판단한 판례는 찾아보기 어려운 실정이다. 예외적으로, 2003년 1월 발생한 MS-SQL 서버가 갖는 취약성을 이용한 슬래머 웜에 의한 정보통신망 침해사고에 대한 손해배상청구사건에서, 서울지방법원이 MS-SQL 서버의 제조물성을 기초로 마이크로소프트사에게 제조물책임법에 의한 책임을 인정할 수 있는지를 판단한 사건이 유일하다고 할 것이다.

Co. 사건에서, 미국 법원이 보험사정인이 손해산출의 근거로 활용한 프로그램의 결함으로 인한 재산상 손해에 대해서 루이지애나주 제조물책임법을 적용할 수 있음을 인정한 것이 예외적인 사례라고 할 수 있다. 그럼에도 불구하고, 제조물책임 관련 각국의 이론적, 정책적 논의에서는 소프트웨어에 대해서도 제조물책임을 인정할 필요성이 있음을 지적하고 있는 바, 이는 소프트웨어에 대한 제조물책임 인정이 법정책적 선택사항임을 시사하는 것이라고 할 수 있다.
    • 우선, 제조물책임 인정 반대론은 소프트웨어에는 언제나 일정한 결함이 있을 수밖에 없고, 그러한 결함으로부터 발생하는 손해는 예측불가능할 정도로 광범위하기 때문에, 소프트웨어 제조자에게 제조물책임을 부담시키는 것은 가혹하고 산업발전을 저해한다고 주장한다. 또한, 제조물책임을 지운다고 할지라도 책임범위를 한정하는 것이 어렵다는 점을 지적한다. 산업에 미치는 ‘위축효과’(chilling effect)를 우려하는 것으로서, 결과적으로 사회적으로 유용성있는 기술진보를 저해하고 가격상승을 통한 소비자부담 증대를 전제하는 논리라고 할 수 있다. 반대로, 찬성론은 소프트웨어에 제조물책임법리를 적용하여야 하는 법정책적 근거들을 제시한다. 첫째, 오늘날 소프트웨어 결함으로 인한 손해는 경제적 손실을 뛰어넘어 생명, 신체, 재산상 손해로 확대되고 있다는 점을 지적한다. 아울러, 대량 생산‧배포되는 현대 소프트웨어의 특성상 계약당사자관계를 전제로 하는 계약책임만으로는 소비자의 손해를 완전히 전보하는 것이 불가능하다는 인식이 확대되었으며, 계약관계에서 발생하는 재산상 손실을 넘어서는 손해를 전보하여 소비자를 보호하는 법리로 발전해온 제조물책임법리를 소프트웨어에 적용하는 것이 마땅하다는 것이다. 둘째, 적절한 위험배분 방식을 고려하여야 한다는 점을 언급한다. 이에는 소프트웨어로 인한 위험을 소비자집단에 전가하는 것보다 제조자가 부담하는 것이 공평타당하다는 전제가 깔려있다. 소프트웨어는 어느 정도 결함을 내포할 수밖에 없고 손해를 유발한 잠재적 위험이 있음에도 불구하고 사회적으로 유용하다고 할 수 있기 때문이다. 제조물책임법리를 적용할 경우, 제조자는 과실책임이론에서보다 많은 위험을 부담할 수 있겠지만, 이러한 위험을 제조물책임보험 등을 통해, 다시 소비자와 나눌 수 있기 때문에 가혹하지 않다는 것이다. 따라서, 공평타당한 위험배분의 논거에는 제조물책임보험의 필요성에 대한 인식이 깔려있다고 할 수 있다. 셋째, 시장에 제품을 출시하는 소프트웨어 제조자는 암묵적으로 그 제품의 안전성을 공표하는 것이기 때문에, 출시전 철저한 테스트가 요구되며, 이러한 테스트의무를 위반한 경우 제조물책임법리가 적용되는 것이 마땅하다는 지적이다. 넷째, 과실책임법리에 따른 일반불법행위책임이 소비자의 피해를 구제하기에 적절하지 않다는 주장이다. 손해를 입은 소비자는 과실책임법리에 따를 경우 소프트웨어 제조자가 설계상‧제조상 적절한 주의의무를 다하지 아니하였음을 입증하여야 하는데, 정보의 불균형에 비추어 이러한 전문영역에 대한 소비자측의 입증은 쉽지 않다는 것이다. 다섯째, 규제이론 측면에서 법정책적으로 제조물책임법리가 제조자들로 하여금 더 안전한 제품을 시장에 출시하도록 하는데 기여하는 사전예방적 효과를 가진다는 점을 강조한다.
    • 소프트웨어는 정보라는 무체물적 성격과 장치 구성을 위한 부품이라는 유체물의 특성을 모두 포함하고 있기 때문에 제조물책임법 해석상 모호함을 야기하는 것이 사실이다. 그럼에도 불구하고, 오늘날 소프트웨어가 수행하는 기능에 비추어, 소프트웨어는 정보에 불과하므로 안전하고, 제어역할만을 수행한다는 인식은 개선될 필요가 있다. 결국 입법정책적인 논의를 거쳐 소프트웨어가 유체물에 내재되어 사실상 유체물을 통제·제어하는 경우 이를 제조물책임의 대상으로 포함시킬 수 있도록 법이론의 모색, 법정책적 개선이 이루어질 필요가 있다.
    • 3) 소프트웨어 제조물책임 관련 법제도 개선방안
    • 첫째, 본 연구는 소프트웨어 제조물책임을 판단하는 절차로, (i) 당해 소프트웨어는 제조된 것인가, (ii) 당해 소프트웨어는 ‘물건’인가, (iii) 당해 소프트웨어는, 특히 임베디드 소프트웨어인 경우에 개성을 유지함으로써 독립성이 인정되는가, (iv) 당해 소프트웨어에 대체설계에 대한 합리적인 기대가능성은 없었는가, (v) 당해 소프트웨어를 담고있는 저장매체에 자체에 결함은 없었는가, (vi) 당해 소프트웨어 위험을 적절히 표시하였는가, (vii) 당해 소프트웨어 제조자 이외의 제3자의 개입‧가공은 없었는가, (viii) 당해 소프트웨어어가 신뢰성 표준규약을 준수하였는가 등 단계적 판단 프로세스를 제시하고, 프로세스별로 세부적인 판단기준을 제시하였다.
    • 둘째, 본 연구는 현행 제조물책임법 적용범위에 소프트웨어를 포함시키는 방안을 제언하였다. 다만, 설령 소프트웨어의 제조물성을 입법적으로 승인한다고 하더라도, 그 결함으로 인한 책임인정을 위해서는 결함판단, 인관관계 등 요건을 모두 충족하여야 하는데, 이러한 요건충족이 쉽지는 않을 것으로 판단되고, 따라서, 본 연구는 소프트웨어 결함으로 인한 손해의 특수성을 고려하여 특수한 책임법제로서 현행 제조물책임법이나 소프트웨어산업발전법에 소프트웨어의 특성을 반영한 별도의 규정을 마련하는 방법, 별개로 ‘소프트웨어책임법’을 제정하는 방법을 적절한 입법정책적 대안으로 제시하였다.
    • 셋째, 본 연구는 무과실책임으로 구성된 제조물책임을 소프트웨어에 독립적으로 인정하는 경우라면, 균형을 맞추어서 손해배상책임의 한도를 정하는 법정책을 병용할 필요성이 있음을 제언하였다. 이 경우, 손해배상책임의 제한은 사고당 정액으로 제한하는 방법보다는 당해 소프트웨어의 총 매출액의 일정한 비율을 책임범위로 한정하는 것이 소프트웨어 산업발전과 이용자 보호를 위해서 적절할 수 있을 것이다. 관련하여, 본 연구는 독자성이 강하게 인정되고 완제품으로부터도 분리 가능한 소프트웨어의 경우, 이른바 소프트웨어 책임보험을 선별적으로 강제하여 위험발생에 대비하는 것이 필요하다는 점도 제언하였다. 다른 한편으로, 본 연구는 보험으로 완전히 보전될 수 없는 손해에 대비하여, 보상기금에 의한 손해의 보전방안도 병행하여 강구할 필요가 있음을 지적하였다.
    • 넷째, 본 연구는 소프트웨어의 기술관련성으로 인하여 소송을 통한 권리구제상 어려움을 해소하고자 조정제도 등 대안적 분쟁해결제도를 도입함으로써 신속한 권리구제를 모색할 필요성이 있음을 제언하였다. 소프트웨어의 제조물책임과 관련하여 가장 중요한 판단인 설계상 결함을 판단하는 것은 법률전문가로서는 전문적인 능력범위를 벗어난 것이라고 할 수 있고, 소송과정에서 감정인에 의한 감정 보다는 분쟁조정과정에서 소프트웨어 전문가들의 객관적인 참여를 통해 설계상 결함이 존재하는가, 존재한다면 그 결함의 정도가 어느 정도로 규범적 비난의 대상이 되는가를 판단할 기회를 갖는 것이 바람직하다고 할 수 있다. 이처럼, 소프트웨어 책임에서 규범적 판단과 결합된 기술적 판단을 수행하기 위해서 소프트웨어 전문가를 참여시키는 대안적 분쟁해결제도의 법률상 도입이 단기적으로 반드시 필요기 때문에, 본 연구는 소프트웨어 산업진흥법에서 책임규정과 더불어 분쟁해결제도를 규정하고 소프트웨어 전문가의 참여를 법적으로 보장하는 규정을 신설하는 것이 가장 용이한 법정책적 대안이라는 점도 지적하였다.
    • 5. 정책적 활용 내용
    • 우선, 본 연구는 입법정책적으로 향후 소프트웨어 제조물책임관련 법제도를 개선하는데 있어서 중요한 지침을 제공할 것이다. 다음으로, 본 연구는 소프트웨어 특수성을 고려한 그 제조물책임 판단기준을 제시함으로써 향후 소송상 판단에 있어서 기초자료로 유용하게 활용될 수 있을 것이다.

    • 우선, 본 연구를 통해, 소프트웨어 안정성을 확보하여 소비자를 보호하는 법리로서 제조물책임법에 대한 인식을 제고하고 관련 법이론, 법제도를 정비하는 계기가 마련될 수 있을 것으로 기대한다. 다음으로, 본 연구를 통해, 해외 법제도 동향이 포괄적으로 정리됨으로써 향후 이론적‧정책적 후속연구의 준거점으로 활용될 수 있을 것으로 기대된다.

    • A Study on Legal System for Software Product Liability
    • 2. Purpose and Necessity
    • As the transition to the "software-oriented society" becomes more and more intense, securing the quality and safety of software is becoming an important legal issue, and discussions of whether the 'Product Liability Act' can be applied to software through the legal system for relieving consumers who have suffered damage to life, body, or property while using the product is adding to its importance. In particular, as software becomes increasingly involved in the finished product, it is strongly likely that the product properties of software is recognized when embedded in microchips or specific devices, and in this case, apart from the manufacturer's product liability, there is also a question of whether the embedded software developer can be responsible for the product's own product liability. Furthermore, the requirements to be taken into account in the product liability recognition for software also need to be reviewed. The purpose of this study is to derive legal and policy implications, and to propose legislative improvement measures, criteria for judging the responsibility of software product liability, and desirable regulatory system based on the investigation and research of cases of foreign legislative cases related to software product liability. Through this the purpose is to ultimately contribute to the creation of a safer software-oriented society than the fourth industrial revolution era.
    • 3. Composition and Scope
    • 1) Software Product Liability Legal Issues The study presented a list of legal issues related to the recognition of product liability in software through analysis of specific cases that is happening in the real world. In addition, the study critically examined the current product liability legislation and related cases, and confirmed the imperfections in interpretation and legislation.
    • 2) Software Product Liability Related Overseas Legal System Investigation and Research The study investigated and analyzed legislation and lawsuits related to software product liability in major countries such as USA, EU, UK, Germany, Japan and China centered on the legal issue list derived from the previous section. When it is difficult to find legal cases and lawsuits that were unique to software, the study attempted to derive legislative policy and judicial policy implications by comprehensive review of the legal system and the legal theory of product liability in the country.
    • 3) Software Product Liability Related Legal System Improvement Plan The study suggested policy alternatives of software product liability law based on the results of overseas legal system, lawsuit case, and domestic and foreign legal theoretical research above. Specifically, the proposed a criteria for product liability that reflects the nature of software, and ways to improve the legal system related to software product liability.
    • 4. Contents and Results
    • 1) Software Product Liability Related Legal Issues and Defects in Current Law First, according to the Product Liability Act, "a manufactured product refers to movables manufactured or operated including those that form part of other movables or minor movables”, and an object to which the Product Liability Act applies is principally referred to as movables. The main issue is to interpretively and legally discover the possibilities of incorporating software. Second, even if the product property of the software is acknowledged, liability under the Product Liability Act can be recognized only if a defect is recognized, but software is developed by highly skilled programmers and combined with IT equipment made from computers or advanced technology, and there is high difficulty for consumers to find out that there is a deficiency in the Product Liability Act because the complexity is almost impossible for ordinary consumers to know. In particular, in relation to design defects, whether or not the defects will be determined is mainly based on alternative design possibilities, but it is not easy to assert that the manufacturer has ignored the possibility of adopting alternative designs. As a result, in software product liability issues, there is a increased need for victims to seek professional help to prove design flaws or to determine if reasonable alternative design could be expected. Third, the Product Liability Act stipulates the exemption of liability for product liability for fair distribution of risks between the victim and the manufacturer. In relation to software product liability, it has the important meaning of protest of development risk that if the manufacturer proves that it was unable to detect the presence of defects at the science or technology level at the time the manufacturer supplied the product, the manufacturer is exempt from liability for damages.
    • 2) Implications of Software Product Liability Related Overseas Legal System Investigation and Research It is difficult to find cases of foreign legislation or lawsuits that recognize the Software Liability Act or the Product Liability Act directly for the software itself. In the case of Schafer v. State Farm Fire and Cas. Co., there was a case of exception where US Court's recognized that the Louisiana State Product Liability Act may be applied to property damage resulting from deficiencies in programs used by insurance assessors as a basis for calculating damages. Nevertheless, in theoretical and policy discussions on product liability in each country, it is pointed out that there is a need to acknowledge product liability for software, which implies that product liability recognition for software is a legal policy option. First, it points out that the damage caused by software defects is now spreading beyond economic losses into life, physical, and property damages. Second, it should be noted that proper risk allocation should be considered. Third, a software manufacturer releasing a product to the market implicitly announces the safety of the product. Therefore, it is pointed out that, thorough testing before the release is required, and the Product Liability Act should be applied if it violates the test obligation. Fourth, it is argued that the General Tort Liability according to negligence liability is not appropriate to relieve consumers' damage. It is true that the software causes ambiguity in the interpretation of the Product Liability Act because it contains both the intangible nature of information and the tangible nature of components for device configuration. Nonetheless, in view of the functions that software performs today, the recognition that software is only information and therefore safe and performs only a control role needs to be improved. Finally, it is necessary to seek the legal theory and improve the legal policy through legislative policy discussion so that when software is embedded in a tangible and actually controls and operates a tangible, it can be included in product liability.
    • 3) Software Product Liability Related Legal System Improvement Plan First, as a procedure for judging software product liability, the study presented a step-by-step decision processes including (i) whether the corresponding software is manufactured,(ii) whether the corresponding software is an "object", (iii) whether in the corresponding software, especially in the case of embedded software, the independence is recognized by maintaining individuality, (iv) whether there was a reasonable expectation of alternative design for the corresponding software,(v) whether there was a defect in the storage medium containing the corresponding software itself,(vi) whether the risk of corresponding software had been properly indicated, (vii) whether there was intervention or processing by a third party other than the corresponding software manufacturer, and (viii) whether the corresponding software complies with the Reliability Standard Protocol, and presented detailed criteria for each process. Second, the study proposed the inclusion of software in the scope of the current Product Liability Act, a method to establish a separate regulation reflecting the nature of software in the current Product Liability Act or the Software Industry Development Act as a special liability law considering the specificity of the damage caused by the software defect, and separately, a method to enact the ‘Software Liability Act’ as an appropriate legislative policy alternative. Third, the study proposed that if product liability consisting of liability without fault is independently recognized for software, there is a need to use a legal policy that sets the limit of liability for damages in a balanced manner. In the case of software that is strongly recognized for uniqueness and which can be detached from the finished product, the study suggested that it is necessary to selectively enforce software liability insurance so as to prepare for the occurrence of risk. On the other hand, the study pointed out that in order to compensate for the damage that can not be completely covered by insurance, it is necessary to take conservation measures for damage in parallel through a compensation fund Fourth, the study pointed out that because there is need to find quick rights remedy by introducing alternative dispute resolution systems such as adjustment system to relieve difficulty in remedying rights through litigation due to the technical relevance of the software, the easiest legal policy alternative is to define responsibility regulations and dispute resolution in Software Industry Promotion Act and establish a regulation that legally guarantees the participation of software experts.

    • The study will provide important guidance in improving legislation related to software product liability in the future. Next, the study can be used as basic data for judgment of litigation in the future by suggesting criteria of product liability considering software specificity.
    • 6. Expected Effect
    • Through the study, it is expected to raise awareness of the Product Liability Act as a law to protect the consumers by securing software safety and establish an opportunity to improve related legal theory and legal system. Next, as the trends in overseas legal system are comprehensively organized through the study, it is expected that it will be used as a reference point of future theoretical and policy research.
